1. The agreement and your acceptance These Terms and Conditions ("Terms") govern access to and use of the PeacePay platform, operated by PeacePay for Development and Management of Technical Solutions ("PeacePay", "بيس باي", "we", "us"), a joint stock investment company registered in the Arab Republic of Egypt under Commercial Registration No. 266940, address 16 Sibawey Almasry Street, Rabaa El-Adaweya, Nasr City, Cairo, Egypt. The platform comprises https://peacepay.me, app.peacepay.me, the PeacePay mobile applications (Apple App Store and Google Play), PeaceLink payment pages, PeaceStore storefronts, and our APIs. By creating an account, opening a PeaceLink page, funding a payment, entering or disclosing an OTP, or otherwise using the platform, you accept these Terms. Contracts concluded electronically through the platform are valid and binding under Egyptian law, including the Electronic Signature Law No. 15 of 2004. These Terms are issued in Arabic and English; the Arabic text prevails. | ١. الاتفاقية وقبولك لها تحكم هذه الشروط والأحكام ("الشروط") الوصول إلى منصة "بيس باي" (PeacePay) واستخدامها، وهي منصة تُديرها شركة بيس باي لتطوير وإدارة الحلول التقنية ("بيس باي"، "PeacePay"، "نحن"، "لنا")، وهي شركة مساهمة استثمارية مسجلة في جمهورية مصر العربية بموجب السجل التجاري رقم 266940، ومقرها 16 شارع سيبويه المصري، رابعة العدوية، مدينة نصر، القاهرة، مصر. تتكون المنصة من الموقع الإلكتروني https://peacepay.me، و app.peacepay.me، وتطبيقات "بيس باي" للهواتف المحمولة (على متجري Apple App Store و Google Play)، وصفحات الدفع "بيس لينك" (PeaceLink)، وواجهات المتاجر "بيس ستور" (PeaceStore)، وواجهات برمجة التطبيقات (APIs) الخاصة بنا. بإنشائك لحساب، أو فتح صفحة "بيس لينك"، أو تمويل مدفوعات، أو إدخال أو الإفصاح عن كلمة المرور لمرة واحدة (OTP)، أو استخدام المنصة بأي شكل آخر، فإنك تقبل بهذه الشروط. تُعد العقود المبرمة إلكترونياً عبر المنصة صحيحة وملزمة قانوناً بموجب القانون المصري، بما في ذلك قانون التوقيع الإلكتروني رقم 15 لسنة 2004. صدرت هذه الشروط باللغتين العربية والإنجليزية؛ ويُعتد بالنص العربي كنسخة سائدة وواجبة التطبيق. |
2. Definitions PeaceLink — a payment record created for a specific order between a Buyer and a Merchant. SPH (Secure Payment Hold) — the hold in which a Buyer's funds are kept, through our PSP, until released under these Terms. OTP — the six-digit code that releases settlement. Deliver-Within — the maximum delivery period committed by the Merchant. Wallet / PeaceCredit — balances recorded for a user on the platform and held with the PSP. PeaceStore — a merchant's catalog and public storefront on the platform. Merchant, Buyer, Delivery User (a delivery company or individual courier) bear their natural meanings. PSP — a payment service provider licensed and supervised by the Central Bank of Egypt (CBE), through which all funds are processed and held. Fee Schedule — the fees published in the platform, snapshotted per PeaceLink at creation. | ٢. التعريفات بيس لينك (PeaceLink) — سجل دفع يتم إنشاؤه لطلب محدد بين المشتري والتاجر. الاحتفاظ الآمن للمدفوعات (SPH) — آلية الاحتفاظ التي يتم من خلالها حفظ أموال المشتري، عبر مقدم خدمات الدفع (PSP) الخاص بنا، حتى يتم الإفراج عنها بموجب هذه الشروط. كلمة المرور لمرة واحدة (OTP) — الرمز المكون من ستة أرقام والذي يؤدي إلى الإفراج عن تسوية المدفوعات. مهلة التوصيل (Deliver-Within) — الحد الأقصى لفترة التوصيل التي يلتزم بها التاجر. المحفظة / رصيد بيس (PeaceCredit) — الأرصدة المسجلة للمستخدم على المنصة والمحتفظ بها لدى مقدم خدمات الدفع (PSP). متجر بيس (PeaceStore) — كتالوج التاجر وواجهة العرض العامة الخاصة به على المنصة. التاجر، المشتري، مستخدم التوصيل (شركة توصيل أو مندوب توصيل مستقل) تحمل معانيها الطبيعية المعتادة. مقدم خدمات الدفع (PSP) — مزود خدمات دفع مرخص وخاضع لإشراف البنك المركزي المصري (CBE)، والذي يتم من خلاله معالجة جميع الأموال والاحتفاظ بها. جدول الرسوم — الرسوم المنشورة على المنصة، والتي يتم توثيقها والتقاطها لكل "بيس لينك" وقت إنشائه. |
3. What PeacePay is — and is not 3.1 PeacePay provides payment facilitation: creating PeaceLinks, holding Buyer funds in the SPH, releasing settlement upon OTP confirmation, operating wallets, and processing refunds and payouts. All funds are received, held and disbursed through a CBE-licensed PSP. PeacePay is not a bank, does not accept deposits, and wallet balances bear no interest. 3.2 PeacePay is not the seller of any goods. The contract of sale is solely between the Buyer and the Merchant. The Merchant is responsible for the goods, their legality, description, quality and conformity, and for honouring consumer rights under the Consumer Protection Law No. 181 of 2018. 3.3 PeacePay is not a carrier or logistics provider. Delivery is performed by the Merchant or an independent Delivery User. PeacePay does not transport goods and is not responsible for delivery performance. | |
4. Eligibility, accounts and KYC 4.1 Merchants, Delivery Users, registered Buyers and guest Buyers must be 18 years or older with full legal capacity, and must provide accurate and current information. Guest Buyers may use the service through the PeaceLink page without creating an account. 4.2 In accordance with the Anti-Money Laundering Law No. 80 of 2002 (as amended) and applicable CBE requirements, identity verification (KYC) is required at least upon a Merchant's first PeaceLink creation, and before any Merchant or Delivery User cash-out. We may request further information at any time, and may refuse, limit, suspend or close accounts to meet legal or risk obligations. 4.3 You are responsible for your device, SIM card, PIN and credentials, and for all activity under your account. Notify us immediately at support@peacepay.me of any suspected compromise. | |
5. The PeaceLink lifecycle 5.1 Funding. The Buyer funds the order amount — and the delivery fee where the applicable policy so provides — into the SPH through the PSP's available payment methods. Unpaid PeaceLinks expire (currently 72 hours; kiosk/reference payments 48 hours) at no charge to any party. 5.2 Advance. Where the Merchant enables an advance, the advance (net of its fee) is released to the Merchant upon funding. The advance is non-refundable, except where the cancellation is attributable to the Merchant, or where the Deliver-Within period has been exceeded, in which cases the advance is refunded in full to the Buyer. 5.3 Out for delivery. When the Merchant marks the order as out for delivery, the OTP is generated and made available to the Buyer. 5.4 THE OTP — LEGAL EFFECT. The OTP is the Buyer's payment instrument. By disclosing the OTP to the courier — or to the Merchant in the case of self-delivery — the Buyer confirms that the order has been received and inspected, and irrevocably authorizes the release of the funds held in the SPH to the Merchant. Entry of a valid OTP settles the payment immediately and finally. The Buyer must keep the OTP confidential until the moment of acceptance at the door. PeacePay will never request an OTP by telephone. Cancellation is not available after the OTP has been disclosed or entered; the Buyer's remedies thereafter are returns (§7) and disputes (§8), and the Buyer's statutory rights against the Merchant are unaffected. 5.5 Deliver-Within. If delivery does not occur within the period committed by the Merchant, the Buyer may either continue to wait or cancel and receive a full refund, including any advance, without adverse consequence. | |
6. Cancellations and refunds 6.1 Cancellations are governed by PeacePay's published cancellation rules, which determine outcomes according to who cancelled, attribution of fault, whether delivery had been committed, and the applicable policy. In summary: cancellations before payment move no funds and incur no fees; Buyer-attributable cancellations refund the remaining held amounts, while a committed delivery fee remains with the collecting party and any advance remains with the Merchant; Merchant-attributable cancellations, including breach of Deliver-Within, refund the Buyer in full, and any committed Delivery User is compensated at the Merchant's expense. 6.2 Late cancellations of committed deliveries may be placed under PeacePay review; funds remain held and are not distributed until PeacePay determines the outcome under the rules. We aim to complete such reviews within five (5) business days. 6.3 Fees earned on amounts actually processed are non-refundable, including advance-leg fees, notwithstanding any subsequent cancellation, except where the law requires otherwise. 6.4 Refunds are credited to the Buyer's balance and are normally processed within one (1) to two (2) business days. Withdrawal of refunded amounts originally paid by external payment methods is free of charge. | |
7. Returns and consumer rights 7.1 The PeaceLink page remains accessible for thirty (30) days after completion to facilitate returns. The return of goods is agreed and performed between the Buyer and the Merchant; the Merchant issues the corresponding refund through the platform. 7.2 Nothing in these Terms limits the Buyer's statutory rights against the Merchant under the Consumer Protection Law No. 181 of 2018, including rights of return, replacement or refund in respect of goods that are defective, non-conforming, or purchased at a distance, within the periods prescribed by that Law. Where those rights are more favourable than this §7, the Law prevails. Any provision of these Terms that would otherwise conflict with a mandatory consumer right does not apply to the extent of the conflict. | |
8. Disputes between users A Buyer may open a dispute within seven (7) days of settlement. Both parties shall provide the evidence requested. PeacePay will determine the movement of held or platform balances in good faith on the basis of its published rules and the evidence provided, and will notify both parties of the outcome and its reasons. Such determination is binding as to platform balances only; it does not restrict either party's right to pursue claims before the competent courts, nor any consumer right under §7.2. | |
9. Merchant obligations 9.1 Merchants shall offer only goods and services lawful under Egyptian law, with accurate descriptions and prices; comply with the Consumer Protection Law and with all tax obligations arising from their sales; configure policies truthfully (who pays and who collects the delivery fee, advance, Deliver-Within) and honour them; maintain sufficient wallet balance to meet obligations created by those policies, including reserved delivery fees and potential advance reversals, and promptly settle any negative balance; use create-on-behalf functionality only with the authority of the beneficiary merchant, warranting such authority to us; and refrain from self-dealing or from manipulating settlements, incentives or fees. 9.2 Prohibited goods and services. The platform may not be used to transact, without limitation: narcotic and psychotropic substances and their precursors; weapons, ammunition, explosives and their parts; antiquities and cultural property whose trade is restricted; counterfeit goods or goods infringing intellectual property rights; medicines, medical devices, supplements or cosmetics that are unregistered or require a licence the Merchant does not hold; alcohol and tobacco products save under licence and never to minors; foreign currency, precious metals or securities dealing requiring a licence the Merchant does not hold; gambling and lottery products; obscene material; protected wildlife, live animals and their products whose trade is restricted; expired, adulterated or unlabelled foodstuffs; stolen goods; personal data or databases; and any other good or service whose sale, possession or circulation is prohibited or restricted under Egyptian law where the Merchant lacks the required licence. We may remove listings, cancel PeaceLinks and suspend accounts for breach, and may report unlawful activity to the authorities. | |
10. Delivery User obligations Delivery Users act as independent contractors of the Merchant or of their delivery company, and not as employees, workers or agents of PeacePay. They may decline or release an assignment before dispatch; must log failed delivery attempts truthfully; and may request, but not themselves effect, a cancellation. They shall never demand cash for PeacePay orders, never misuse or solicit OTPs, and shall enter an OTP only as provided by the Buyer at the point of delivery. Courier incentives are a discretionary promotional programme of PeacePay. They do not constitute wages, salary, allowance or any other entitlement under the Labour Law No. 12 of 2003, are not consideration for time worked, create no employment or subordination relationship with PeacePay, and may be varied, suspended or discontinued prospectively on notice. Nothing in this §10 affects the relationship between a courier and their own employer. | |
11. Wallets, PeaceCredit and cash-outs 11.1 Balances are recorded by source — settlement, delivery, incentive, refund — and applicable fees and cashability follow the source in accordance with the Fee Schedule. Incentive credits are promotional, non-cashable, spendable only as stated, limited to one per eligible person, and may be reversed in cases of fraud or abuse. 11.2 Cash-outs are subject to KYC, a minimum amount of EGP 100, the published fee for the relevant source of funds, processing windows and security checks; larger amounts may require additional review. Where a payout fails, both the amount and the fee are re-credited. 11.3 Balances represent claims recorded on the platform against funds held with the PSP; they are not bank deposits and bear no interest. We may correct erroneous credits and recover amounts credited in error. 11.4 Inactive balances. Balances remain the property of the user and are payable on request at any time. Where an account shows no activity for twenty-four (24) consecutive months and holds a balance, we will attempt to contact the user at their registered details and invite them to withdraw. No dormancy or maintenance fee is charged. Balances that remain unclaimed are held and dealt with in accordance with Egyptian law and any instruction of the CBE or the PSP. | |
12. Fees and taxes 12.1 The Fee Schedule in force when a PeaceLink is created is snapshotted and governs that PeaceLink, regardless of later changes. 12.2 Current headline fees: Merchant transaction fee 1% + EGP 3 per settled PeaceLink; Merchant and Delivery User cash-out 1.5% + EGP 3; Buyers pay no PeacePay fees. Fees may be varied prospectively on notice under §21. 12.3 All fees displayed are inclusive of value added tax and any other applicable Egyptian taxes. PeacePay issues electronic tax invoices in accordance with the requirements of the Egyptian Tax Authority. Each party bears the taxes imposed on it by law in respect of its own activity; Merchants remain solely responsible for the tax treatment of their own sales to Buyers. | |
13. Acceptable use You shall not use the platform to: violate any law; launder money or finance terrorism; deal in goods prohibited or restricted under §9.2; defraud any party; abuse incentives, including through multiple identities or devices; attempt to guess, intercept or socially engineer OTPs; interfere with, probe, scrape or reverse-engineer the platform; resell or sublicense access to the platform without our written consent; or misrepresent your identity or authority. | |
14. AML, sanctions and freezing of funds We monitor transactions and report suspicious activity to the Money Laundering Combating Unit as required by law, without notice to you where the law so provides. We may freeze accounts, wallets or specific funds in order to comply with law, with an instruction of a regulator or of the PSP, with a court order, or where we have genuine and documented risk concerns. During a freeze, no automatic refunds or reversals occur, and funds are dealt with in accordance with lawful instructions. Where we are permitted to do so, we will inform you that a freeze has been applied. You agree to cooperate with our compliance requests. | |
15. Suspension and termination We may suspend or terminate access for breach of these Terms or for legal or risk reasons, with notice where lawful. You may close your account at any time; closure does not affect completed transactions, statutory record-keeping, or amounts owed. Remaining lawful balances are paid out following applicable checks. | |
16. Intellectual property The platform, its software and content, and the marks PeacePay, بيس باي, PeaceLink, PeaceCredit, PeaceStore and SPH are trademarks and intellectual property of PeacePay or its licensors, registered or pending registration under the Intellectual Property Protection Law No. 82 of 2002. Merchants grant PeacePay a non-exclusive, royalty-free licence to display their catalog content for the purpose of operating and promoting the service. No rights are granted other than as expressly set out in these Terms. | |
17. Disclaimers To the maximum extent permitted by Egyptian law, the platform is provided "as is". We do not warrant uninterrupted or error-free operation, and we give no warranty in respect of goods, their delivery, or the conduct of any Merchant or Delivery User, for which those parties are solely responsible. | |
18. Liability Nothing in these Terms excludes liability that cannot be excluded under Egyptian law, including liability for fraud, gross negligence or personal injury. Subject to the foregoing, PeacePay shall not be liable for indirect or consequential loss or loss of profit, and PeacePay's aggregate liability to a user in respect of all claims arising in any twelve (12) month period shall not exceed the total PeacePay fees paid by that user during that period, or EGP 20,000, whichever is greater. Mandatory consumer rights under the Consumer Protection Law No. 181 of 2018 are unaffected by this §18. | |
19. Indemnity Merchants and Delivery Users shall indemnify PeacePay against third-party claims, losses and regulatory penalties arising from their breach of these Terms, from their goods, from their deliveries, or from their unlawful conduct. | |
20. Force majeure Neither party is liable for failure or delay caused by events beyond its reasonable control, including failures of telecommunications, banking or PSP infrastructure and acts of public authority, provided reasonable mitigation measures are taken. | |
21. Changes to these Terms We may amend these Terms prospectively. Material changes will be notified through the app or by message at least fifteen (15) days before they take effect, except where an immediate change is required by law, by a regulator, or for security. Continued use after the effective date constitutes acceptance; if you do not accept, you should cease using the platform and withdraw any lawful balance. | |
22. Notices We may give notice through the app, by push notification, SMS, WhatsApp or email to your registered contact details; such notice is deemed received upon sending. Legal notices to PeacePay must be sent to info@peacepay.me and to 16 Sibawey Almasry Street, Rabaa El-Adaweya, Nasr City, Cairo, Egypt. | |
23. General You may not assign these Terms; we may assign to an affiliate or successor upon notice. If any provision is held invalid, the remainder continues in force. These Terms, together with the Privacy Policy, the Fee Schedule and the published cancellation rules, constitute the entire agreement between you and PeacePay in respect of the platform. No waiver is implied from any forbearance. | |
24. Governing law and jurisdiction These Terms are governed by the laws of the Arab Republic of Egypt. Any dispute with PeacePay shall be subject to the exclusive jurisdiction of the competent courts of Cairo, without prejudice to any mandatory consumer forum rights under Egyptian law. | |
